Terms of service
Effective Date: May 22, 2026
Website: www.shinjukumatcha.com
Company: Shinjuku Matcha Chocolate Company LLC (“Company,” “we,” “our,” or “us”)
These Terms of Service (the “Terms”) govern your access to and use of our website, online store, wholesale portal, content, products, and related services (collectively, the “Services”). By accessing our website, creating an account, placing an order, submitting information to us, or otherwise using the Services, you agree to these Terms.
If you do not agree to these Terms, you may not use the Services or purchase products from us.
1. Eligibility and Use of the Services
You may use the Services only if you are able to form a legally binding contract with us and only in compliance with these Terms and all applicable laws.
If you are using the Services on behalf of a business, cafe, retailer, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you individually and the entity you represent.
You agree not to use the Services for any unlawful, fraudulent, abusive, harmful, or unauthorized purpose.
2. User Guidelines
When using our website, purchasing products, communicating with us, or accessing any customer or wholesale account, you agree that you will not:
1. Violate any applicable law, regulation, or third-party right.
2. Provide false, inaccurate, misleading, or incomplete information.
3. Interfere with or disrupt the operation, security, or integrity of the Services.
4. Attempt to gain unauthorized access to any account, system, database, or restricted area of the website.
5. Use automated tools, bots, scrapers, crawlers, or similar technologies without our prior written permission.
6. Copy, reproduce, resell, exploit, or misuse any portion of the Services, website content, product descriptions, brand assets, images, or materials except as expressly permitted by us.
7. Submit or transmit any malicious code, spam, unsolicited promotional material, or harmful content.
8. Use the Services in a way that could damage our reputation, business, customers, suppliers, or brand.
We reserve the right to suspend or terminate access to the Services if we believe you have violated these Terms or used the Services in a manner inconsistent with our policies or business interests.
3. Orders, Acceptance, and Availability
All orders placed through the Services are subject to acceptance by us. We may accept, decline, cancel, limit, or modify any order in our sole discretion, including after an order confirmation has been sent.
Product availability, inventory levels, pricing, shipping availability, delivery timelines, and promotional offers are subject to change without notice. We do not guarantee that any product shown on the website will be available at the time you place an order or at any later date.
For wholesale, business, or cafe customers, additional terms may apply, including minimum order quantities, agreed pricing, account approval, territory restrictions, payment terms, resale restrictions, storage requirements, or separately negotiated purchase terms. If a separate written agreement between you and us conflicts with these Terms, the separate written agreement will control only with respect to the conflicting subject matter.
4. Pricing, Payment, and Billing
Prices are listed in U.S. dollars unless otherwise stated. We reserve the right to change prices at any time without notice.
You agree to provide current, complete, and accurate billing, shipping, contact, and payment information. By submitting payment information, you represent and warrant that you are authorized to use the payment method provided.
You are responsible for any applicable taxes, duties, fees, or charges associated with your order, except to the extent we expressly state otherwise in writing.
We may use third-party payment processors to process transactions. We are not responsible for payment processing errors, delays, declines, chargebacks, or data handling practices of third-party payment providers, except where required by applicable law.
5. Accuracy of Information, Errors, and Corrections
We strive to be accurate and precise in our product descriptions, pricing, inventory information, shipping information, images, nutritional details, ingredient references, and other content. However, typographical errors, inaccuracies, omissions, pricing errors, inventory errors, shipping errors, or other mistakes may occasionally occur.
We reserve the right to correct any errors, inaccuracies, or omissions at any time, without prior notice, including after an order has been submitted or confirmed. We may update product information, revise pricing, correct inventory availability, cancel orders, refund payments, request additional information, or otherwise modify or decline an order if we determine that an error occurred.
If your order is canceled after payment due to an error, we will issue a refund to the original payment method, unless otherwise required by law or agreed in writing.
Website content is provided for general informational purposes and should not be relied upon as the sole basis for making purchasing, dietary, business, resale, or health-related decisions.
6. Product Information and Food Disclaimers
Our products are food products, and product characteristics may vary. Differences in color, appearance, texture, flavor intensity, bloom, surface finish, shape, size, weight, packaging, and other attributes may occur due to ingredient variation, manufacturing conditions, storage conditions, transit conditions, seasonal conditions, or normal variation in chocolate and matcha products.
Unless expressly stated, our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Any statements about flavor, quality, ingredients, origin, caffeine, energy, relaxation, wellness, or similar topics are general product information only and are not medical advice.
7. Allergens and Dietary Information
Our products may contain, or may be manufactured, packaged, stored, or shipped in facilities that process, handle, or store, common allergens including, without limitation:
· Milk and dairy products
· Tree nuts
· Peanuts
· Soy
· Wheat
· Gluten-containing ingredients
· Eggs
· Sesame
· Other allergens or ingredients that may cause sensitivities
Even if a specific allergen is not listed as an ingredient for a particular product, cross-contact may occur during ingredient sourcing, manufacturing, packaging, storage, handling, or shipping.
Customers with food allergies, dietary restrictions, medical conditions, religious dietary requirements, pregnancy-related dietary concerns, caffeine sensitivity, or other health concerns should review all product labels carefully before consuming our products.
For detailed nutritional, ingredient, dietary, or allergen questions, please contact customer service before purchasing or consuming any product. We do not guarantee that any product is suitable for any particular dietary requirement unless expressly stated in writing by us.
8. Shipping, Delivery, Perishability, and Weather Risk
Chocolate is a temperature-sensitive and perishable product. Warm weather, transit delays, carrier handling, storage conditions, delivery location, missed delivery attempts, and other factors outside our control may affect the condition of products upon arrival.
We may offer, require, or recommend temperature-protective shipping options, such as insulated packaging, cold packs, gel packs, expedited shipping, temperature-controlled shipping, refrigerated shipping, or seasonal shipping restrictions. Availability of these options may vary by product, destination, season, carrier, order size, and customer type.
Unless expressly agreed in writing, we are not liable for melting, softening, bloom, deformation, condensation, flavor changes, texture changes, packaging changes, or other heat- or transit-related effects that occur after products are tendered to the carrier or otherwise leave our custody.
During warm weather or for destinations with elevated temperatures, we may delay shipment, require expedited shipping, require temperature-protective packaging, restrict shipping dates, decline shipment to certain locations, cancel orders, or contact you to confirm shipping instructions.
You are responsible for providing a complete, accurate, and deliverable shipping address where the package can be received promptly. We are not responsible for product damage, melting, spoilage, theft, loss, delay, or failed delivery resulting from incorrect addresses, unattended deliveries, missed delivery attempts, carrier delays, refusal of delivery, forwarding, rerouting, or packages left outside after delivery.
For wholesale, cafe, or business customers, you are responsible for promptly receiving, inspecting, and storing products under appropriate conditions after delivery. We recommend storing chocolate in a cool, dry place away from direct sunlight, heat, moisture, and strong odors, unless specific written storage instructions are provided.
9. Returns, Refunds, and Order Issues
Because our products are food items, returns may be limited or unavailable for safety, quality, and regulatory reasons.
If you believe an order arrived damaged, incorrect, incomplete, or otherwise defective, you must contact us promptly at info@shinjukumatcha.com with your order number, photographs, a description of the issue, and any other information we reasonably request.
We reserve the right to determine, in our sole discretion and subject to applicable law, whether to offer a refund, replacement, credit, partial refund, or no remedy. We may deny claims that are submitted late, lack required documentation, involve melting or weather-related issues outside our control, result from customer error, or relate to normal variation in food products.
Nothing in these Terms limits any rights you may have under applicable consumer protection laws.
10. User Accounts
Certain parts of the Services may require you to create an account, including customer accounts, wholesale accounts, cafe accounts, subscription accounts, or access-controlled purchasing portals.
You agree to provide accurate, current, and complete account information and to keep that information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us immediately if you suspect unauthorized access to or use of your account.
We may approve, reject, suspend, restrict, or terminate any account at any time, including if we believe the account information is inaccurate, the account is being misused, the account is associated with fraud or chargebacks, the account no longer qualifies for wholesale or restricted access, or the user has violated these Terms.
Wholesale pricing, access codes, private product pages, account-specific pricing, and restricted purchasing portals are confidential and may not be shared, published, resold, or made available to unauthorized parties without our prior written consent.
11. Intellectual Property
The Services and all related content, materials, and intellectual property are owned by us or our licensors and are protected by copyright, trademark, trade dress, trade secret, and other intellectual property laws.
This includes, without limitation, our brand names, logos, product names, packaging designs, product concepts, product images, photographs, graphics, illustrations, website design, copy, text, product descriptions, recipes, formulations, layouts, videos, icons, and other materials.
You may not copy, reproduce, modify, distribute, display, perform, publish, sell, license, exploit, create derivative works from, or use any of our intellectual property without our prior written consent, except for limited personal or internal business use necessary to access the Services or purchase our products.
Nothing in these Terms grants you any ownership interest in our intellectual property.
12. User Submissions and Feedback
If you submit reviews, comments, photos, suggestions, ideas, feedback, testimonials, social media posts, or other content to us or tag us online, you grant us a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, display, distribute, modify, publish, and create derivative works from that content in connection with our business, marketing, website, social media, advertising, product development, and promotional activities.
You represent and warrant that you own or have the necessary rights to submit such content and that the content does not violate any law or third-party right.
We may remove, edit, decline to post, or stop using any user-submitted content at any time.
13. Third-Party Services and Links
The Services may include links to third-party websites, platforms, payment processors, shipping carriers, social media pages, or other third-party services. We do not control and are not responsible for third-party services, content, policies, practices, errors, delays, or failures.
Your use of third-party services is subject to the applicable third party’s terms and policies.
14. No Warranties
The Services, website content, and products are provided on an “as is” and “as available” basis, except as expressly stated in writing by us or required by applicable law.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.
We do not warrant that the Services will be error-free, secure, uninterrupted, current, or free from harmful components, or that any product will meet your specific expectations, preferences, dietary needs, resale objectives, or business requirements.
15. Limitation of Liability
To the fullest extent permitted by law, we and our owners, officers, directors, employees, contractors, suppliers, manufacturers, service providers, affiliates, agents, and representatives will not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost business opportunity, loss of goodwill, data loss, product loss, reputational harm, or business interruption, arising out of or related to the Services, products, orders, shipping, delays, website use, or these Terms.
To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Services, products, orders, shipping, delays, website use, or these Terms will not exceed the amount you paid to us for the specific product or order giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
16. Indemnification
You agree to indemnify, defend, and hold harmless us and our owners, officers, directors, employees, contractors, suppliers, manufacturers, service providers, affiliates, agents, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
1. Your use or misuse of the Services.
2. Your violation of these Terms.
3. Your violation of any law or third-party right.
4. Information, content, or materials you submit to us.
5. Your resale, storage, handling, marketing, distribution, or use of our products.
6. Your negligence, misconduct, fraud, or unauthorized activity.
17. Governing Law and Dispute Resolution
These Terms and any dispute, claim, or controversy arising out of or related to these Terms, the Services, or our products will be governed by the laws of the State of California without regard to its conflict of laws principles.
Subject to any rights you may have under applicable law, you agree that any dispute arising out of or related to these Terms, the Services, or our products will be brought exclusively in the state or federal courts located in Los Angeles County, California and you consent to the personal jurisdiction and venue of those courts.
If you are a consumer, this section does not limit any mandatory rights you may have under the laws of your place of residence.
18. Changes to These Terms
We may update, modify, or replace these Terms at any time. When we make changes, we may update the “Effective Date” above and post the revised Terms on our website.
The revised Terms will apply to your use of the Services after they are posted, unless otherwise stated. Your continued use of the Services after changes are posted means you accept the updated Terms.
We encourage you to review these Terms periodically.
19. Termination
We may suspend, restrict, or terminate your access to the Services, cancel or refuse orders, disable accounts, or remove content at any time if we believe you have violated these Terms, created risk for us or others, provided inaccurate information, engaged in fraud or abuse, or used the Services in a manner inconsistent with our policies or business interests.
Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution provisions.
20. Miscellaneous
These Terms, together with any policies or written terms referenced in them, constitute the entire agreement between you and us regarding the Services, except for any separate written agreement signed by both parties.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of our right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations in connection with a merger, acquisition, sale of assets, restructuring, operation of law, or otherwise.
